Rooftop Talk No.3: How to close the perfect deal?

What is important in negotiations with an investor? What do investors pay particular attention to? What should companies take into account? These are some of the questions asked during the third Rooftop Talk “Getting the Deal: Start-up vs. Investor”.

The topic attracted more than 70 interested visitors to the Deutsche Börse FinTech Hub, where a lively discussion quickly developed. The panel experts were Christian Knott, Principal at Capnamic Ventures in Cologne, where his responsibilities include deal sourcing, and Michael Duttlinger, CEO and founder of CASHLINK, one of the four companies headquartered at the FinTech Hub.

On stage, Michael Duttlinger und Christian Knott discussed topics such as company valuation, investor involvement, information and selling rights, the bad leaver provision and minimal valuation in the case of a company’s sale. Prior to the discussion, Christian Knott explained his investment approach: he obtains the company’s valuation from its founders and then creates an individual risk profile for it.

With his skillful enquiries, moderator Hassan Sohbi, an attorney with extensive experience in VC at Taylor Wessing, was able to highlight and clarify the different negotiating positions for the audience. It thereby became clear that company reports on growth and key figures, which are often requested by the investors, are not a burdensome obligation but rather the exact opposite, a valuable management tool, allowing investors to step in at the right time and assist as an investor with “smart money” – offering operative advice with experience and know-how. Conclusion: both sides want to benefit from each other – therefore, they have to come together and cooperate.

The subsequent Q&A session with interesting questions from the audience offered a smooth transition to the networking part of the evening with drinks and snacks and a great view of the “rooftops” of Frankfurt.
